1. Introduction

Welcome to MedStartups. These Terms & Conditions (“Terms”) govern your access to and use of the MedStartups website, services, content, and platforms (collectively, the “Service”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

3. Definitions

  • User(s): any person or organisation accessing the Service.

  • Content: text, images, audio, video, data, listings, profiles, and other material published on or through the Service.

  • Platform: MedStartups website, API, and related interfaces.

4. Eligibility and account registration

a. You must be at least 18 years old and legally capable of entering contracts in Kenya to register an account.
b. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.
c. We may suspend or terminate accounts for breaches of these Terms or for conduct that harms other users or the Service.

5. Services and user responsibilities

a. MedStartups provides editorial content, startup listings, directories, resources, and optional paid services. Specific terms for paid features will be presented at purchase.
b. Users must use the Service lawfully and ethically. You may not: impersonate others, upload unlawful content, or engage in fraudulent activity.

6. User-generated content & submissions

a. By submitting content (including startup profiles, comments, or listings) you grant MedStartups a worldwide, royalty-free, transferable, sublicensable, perpetual licence to host, use, reproduce, publish, and display that content for the operation and promotion of the Service.
b. You represent that you have the right to submit the content and that it does not violate any third-party rights.
c. We may moderate, remove, or refuse content that violates these Terms or applicable laws.

7. Prohibited conduct & cyber safety

You must not:

  • Attempt unauthorized access to other users’ accounts or MedStartups systems.

  • Upload malicious code, malware, or attempt denial-of-service attacks.

  • Use the Service for unlawful purposes.

Note: Unauthorized access, distribution of malware or other cybercrimes are offences under Kenyan law and are subject to reporting, investigation and prosecution under the Computer Misuse and Cybercrimes Act, 2018. Kenya Law

8. Privacy and personal data

a. MedStartups collects and processes personal data to operate the Service. Our Privacy Policy explains what personal data we collect, how we use it, the legal basis for processing, security measures, retention, and your rights.
b. Under the Data Protection Act, 2019, data subjects have statutory rights — including the right to be informed about processing, to access their personal data, to correction, to deletion, to object to processing, and to safeguards on transfer outside Kenya. c. Where we act as a data controller/processor we will implement appropriate technical and organisational measures to protect personal data in our custody. Data breach notifications will be made to affected data subjects and to the Data Commissioner as required by law. odpc.go.ke

9. Payments, fees and refunds

a. If you purchase premium services, subscriptions or advertising, you agree to pay the applicable fees. Payment terms, billing cycles and refund policies will be shown at the point of sale.
b. Consumer purchases are subject to Kenya’s Consumer Protection rules. Where local consumer protection law gives you additional rights (e.g., rights relating to unfair trading practices or contract formation online), those rights will apply. Kenya Law

10. Intellectual property

a. All intellectual property rights in the Service (site design, logos, editorial content, code) are owned by or licensed to MedStartups unless expressly stated otherwise.
b. You may view and download content for personal, non-commercial use only, unless permitted by licence. Any unauthorised copying, reproduction, distribution, or creation of derivative works is prohibited.

11. Third-party content and links

The Service may contain links to third-party sites, tools or services that are not owned or controlled by MedStartups. We are not responsible for third-party content, and inclusion of any link does not imply endorsement. Use third-party services at your own risk.

12. Disclaimers & limitation of liability

a. The Service, content, and listings are provided “as is”. MedStartups makes reasonable efforts to verify content but does not warrant accuracy, completeness, or reliability of user-submitted or third-party content.
b. To the fullest extent permitted by Kenyan law, MedStartups (and its officers, employees and partners) will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
c. Nothing in these Terms excludes liability for death or personal injury caused by our proven negligence or for other liabilities that cannot legally be excluded under Kenyan law.

13. Indemnity

You agree to indemnify, defend, and hold MedStartups harmless from and against any claims, damages, liabilities, losses, costs or expenses (including legal fees) arising from your breach of these Terms, your submissions, or your violation of any law or third-party rights.

14. Termination and suspension

MedStartups may suspend or terminate your access for breach, suspected fraud, legal obligations, requests from authorities, or to protect other users or the Service. On termination, certain provisions (IP, indemnity, disclaimers, limitation of liability, and dispute resolution) will survive.

15. Governing law & dispute resolution

a. These Terms are governed by the laws of the Republic of Kenya.
b. Any dispute arising under or about these Terms should first be notified in writing to MedStartups (contact details above). If we cannot resolve the dispute amicably within 30 days, the parties agree to submit the dispute to arbitration in Kenya under the Arbitration Act. The seat of arbitration will be Nairobi, Kenya, and the proceedings will be conducted in English unless the parties agree otherwise. The tribunal shall apply the law chosen by the parties, and in the absence of choice shall apply Kenyan law. Kenya Law

16. Compliance & enforcement (reporting unlawful conduct)

MedStartups cooperates with lawful requests from Kenyan law enforcement and regulatory authorities. We will preserve and disclose user information where required by statute, regulation, or valid court order, including where there is suspected breach of the Computer Misuse and Cybercrimes Act or other laws. 17. Changes to the Terms

We may update these Terms from time to time. Where changes are material we will provide notice (e.g., email or site banner). Continued use of the Service after notification constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found invalid or unenforceable by a court/arbitral tribunal, the remaining provisions will continue in full force.

19. Entire agreement

These Terms together with any explicitly incorporated documents (Privacy Policy, Cookie Policy, paid-service agreements) constitute the entire agreement between you and MedStartups regarding your use of the Service.
